VANCOUVER, British Columbia – TheNewswire – July 8, 2024 – FRX Innovations (TSXV:FRXI) (FSE:W2A.F) (“FRX” or the “Company”), previously announced that, as a result of delays in completion of its audit, the Company had not filed its annual financial statements and accompanying management’s discussion and analysis for the fiscal year ended December 31, 2023 (the “Annual Filings“) by April 30, 2024, being the date that such filings are due under applicable Canadian securities law requirements.


The Company was granted a management cease trade order (the “MCTO”) by the Ontario Securities Commission (”OSC”) on May 10, 2024. The OSC granted a further extension of two weeks beyond the original sixty days bringing the current deadline to July 12, 2024.  Due to unforeseen circumstances, the audit has been further delayed.


Further updates will be provided as required.


Until the Company files the Annual Filings, it will comply with the alternative information guidelines set out in National Policy 12-203. The guidelines, among other things, require the Company to issue bi-weekly status reports by way of a news release so long as the Annual Filings have not been filed.


During the MCTO, officers, directors, and other special relationship persons are in a blackout period for the duration of the (anticipated) default and have been advised of this by the Company.
